Refer-A-Friend Rebate Terms

This Refer-A-Friend Program ("Program") is available to consumer users of ElectricityRates.com who refer other residential electricity customers to a new provider using ElectricityRates.com, which is owned by Power Target, LLC ("Power Target," "us" or "we"). Your participation in this Program is subject to these Program Terms & Conditions (these "Terms"). By participating in this Program, you also agree to the ElectricityRates.com Terms and Conditions [https://electricityrates.com/terms-of-use/] and Privacy Policy [https://electricityrates.com/privacy-policy/].

Program Summary

This Program is available to Qualified Referrers only. A "Qualified Referrer" is an electricity consumer who (i) applied on ElectricityRates.com to enroll with a new electricity provider (the "New Provider"), (ii) met the New Provider's enrollment requirements, and was enrolled with the New Provider, (iii) After enrollment with the New Provider, is provided a unique enrollment link to enroll with a new electricity provider that they can share with intended recipients and (v) is current on all bills due from it to the New Provider.

Only Qualified Referrers who use the unique link provided at the time of enrollment are eligible to participate in The Program. Upon sharing your unique enrollment link, we will track the status of enrollments and qualified referrals to determine eligibility for the Program.

If the Referral enrolls with a New Provider using ElectricityRates.com and meets the requirements of a Qualified Referral (as hereinafter defined), then, provided that you meet the requirements of a Qualified Referrer, Power Target will issue a rebate to you (a "Rebate") in accordance with these Terms. The Rebate will be in the form of an Amazon.com Gift Card. This Program cannot be combined with other reward programs or special offers and is void where prohibited.

A Qualified Referrer may not receive more than 10 Rebates under the Program without Power Target's prior written consent. Power Target will determine in its sole discretion whether to grant such consent. You can apply for consent by emailing Power Target at support@electricityrates.com. A Qualified Referrer may not receive more than one (1) Rebate attributable to the same Qualified Referral.

Term/Termination

We may terminate your participation in this Program or cancel this Program at any time and for any reason in our sole discretion, but these Terms will continue to apply to Qualified Referrals made prior to such termination or cancellation unless your participation is terminated because of a violation of these Terms. Failure to comply with any of these Terms or any illegality, fraud or abuse relating to any Rebate or potential Rebate under the Program by you or anyone acting on your behalf [or using your email] may result in the immediate termination of your participation in the Program and/or forfeiture of any Rebates or potential Rebates, or, at our option, the suspension of your participation in the Program pending investigation.

Qualified Referrals

A "Qualified Referral" is a Referral that (i) is not currently enrolled or under contract with the New Provider, (ii) satisfies the New Provider's enrollment requirements and is subsequently enrolled with the New Provider using ElectricityRates.com, (iii) enrolls with the New Provider for residential electricity supply at a postal address different from the Qualified Referrer's postal address within thirty (30) days of the date that the unique referral link is issued, identifying the Referral; (iv) uses the email address the Qualified Referrer submitted in the Refer A Friend Form identifying the Referral, (v) continues to receive residential electricity supply from the New Provider for at least 60 consecutive calendar days and (vi) has paid at least the first two (2) bills due to the New Provider.

Each Qualified Referral will be credited to the Qualified Referrer who last submitted the Qualified Referral's email address before the Qualified Referral applied on ElecricityRates.com for service from the New Provider. You agree that we will make the final determination whether anyone you refer to us is or becomes a Qualified Referral.

Changes

We reserve the right at any time and in our sole discretion to stop all or any part of this Program or to alter, change, modify or assign the terms or content of this Program. If any of the Terms are materially changed or amended, we will promptly publish such variation or amendment on our website at https://electricityrates.com/terms-of-use/refer-friend-program-terms-conditions/. It is your responsibility to check that page regularly to determine whether these Terms & Conditions have been modified. If you do not agree to any modification of these Terms & Conditions, you must immediately cease participation in the Program. All previous Program offers will no longer be valid with respect to any Qualified Referrals made after the date of such change. Both the amount and method of paying Rebates are subject to change at any time, and such changes will apply to Qualified Referrals made after the date of such change. Referral Communications

You may refer a friend only by using the Refer A Friend Form on the electricityRates.com website. You are not authorized to make any marketing or other claims or statements about ElectricityRates.com, Power Target, a New Provider, or any services or programs that either of them might provide. You are solely responsible for complying with the requirements of this section, and we will not be responsible for your failure to do so. Failure to comply with these requirements or your violation of any law will result in immediate termination of your Program participation and forfeiture of any rebate or potential rebate. In addition, you will be responsible for all resulting damages.
Independent Contractor Relationship

You acknowledge and agree that nothing herein authorizes you to act on our behalf nor on behalf of Power Target or any of its customers whether consumers or providers and that nothing herein shall be construed to constitute or imply a joint venture, employer-employee relationship, partnership or association between you, us and/or any provider. You acknowledge that participation in this Program is at your own risk and as an independent contractor. You will be responsible for all taxes on any compensation paid to you hereunder, including, but not limited to, all federal, state and local income and employment taxes, and you acknowledge that Power Target shall not pay or withhold any taxes with respect to any Rebate.
Indemnification

By participating in this Program, you agree to indemnify and hold harmless Power Target, New Providers, and their respective affiliates, predecessors, successors, assigns, agents, employees, members, officers, directors, and representatives from and against any and all damages, costs, expenses, claims or liabilities of any kind, including third-party claims, whether pending or threatened, including without limitation, reasonable attorneys' fees and court costs, incurred by any of them arising out of or related to your participation in this Program or your breach of these Terms.

Warranty Disclaimers; Limitation of Liability

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. THE PROGRAM IS MADE AVAILABLE TO YOU ON AN "AS IS" BASIS WITHOUT WARRANTY OR ANY KIND, EXPRESS OR IMPLIED. NEITHER POWER TARGET, NEW PROVIDER NOR ANY OF THEIR AFFILIATES, PREDECESSORS, SUCCESSORS, ASSIGNS, AGENTS, EMPLOYEES, MEMBERS, OFFICERS, DIRECTORS OR REPRESENTATIVES, THROUGH THESE PROGRAM TERMS & CONDITIONS, MAKES ANY WARRANTY REGARDING THE PROGRAM, AND WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY
OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL POWER TARGET, NEW PROVIDER OR ANY OF THEIR AFFILIATES BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS & CONDITIONS OR THIS PROGRAM, EVEN IF POWER TARGET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Acceptance and Jurisdiction

By participating in the Program, you agree that you have read, understand and will abide, and be bound, by these Terms. These Terms shall be governed in all respects in accordance with the laws of the State of Maryland without regard to the conflict or choice of law rules thereof. You agree that federal and state courts located in Baltimore, Maryland, shall have exclusive jurisdiction and venue over any dispute arising hereunder.

General

You may not assign the right to participate in this Program to any other party. We may assign or delegate any of our rights or responsibilities hereunder to independent contractors or other third parties. We will not have waived any of our rights or remedies hereunder unless such waiver is in writing and executed by our authorized representative. No delay or omission by us in exercising any rights or remedies shall waive those or any other rights or remedies.
